1. General Information & Corporate Identity

KeyPitch (hereinafter referred to as "the Service", "we", "us", or "our") is a digital audio processing platform originally conceived, developed, and first made publicly available in the year 2025 under the commercial denomination "KeyPitch" by way of an extension distributed through the Google Chrome Web Store (hereinafter "the Extension"). The Extension, which enables users to modify the pitch, speed, and various acoustic properties of audio content directly within the Google Chrome web browser environment, experienced a notably significant and sustained level of user adoption and commercial traction following its initial publication on the Chrome Web Store platform. In direct response to the aforementioned organic growth, widespread user demand, and the demonstrably favorable market reception of the Extension, the decision was subsequently undertaken to expand the scope of the KeyPitch product offering beyond the confines of a browser extension and to develop a comprehensive, standalone, web-based software application accessible at the domain keypitch.app (hereinafter "the Platform").

2. Description of Services & Platform Modules

The Platform, as it exists in its current iteration and as it may be amended, updated, supplemented, or otherwise modified from time to time at the sole and absolute discretion of KeyPitch, provides users (hereinafter individually referred to as "User" and collectively as "Users") with access to a suite of online audio processing tools and functionalities, which are organized into the following distinct modules, each of which operates in accordance with its own specific technical parameters, usage limitations, and applicable terms as set forth herein and as may be further detailed within the Platform interface itself: (a) Audio Studio, a fully-featured online audio editing environment that permits Users to perform pitch transposition (measured in semitones), speed adjustment (expressed as a multiplier coefficient), frequency tuning (calibrated in Hertz), reverb application (via convolution-based impulse response processing), 8D audio spatialization, and bass boost enhancement on uploaded audio and video files in formats including but not necessarily limited to MP3, WAV, M4A, and MP4; (b) AI Vocal Remover, an artificial intelligence-powered stem separation tool that employs machine learning algorithms to isolate vocal tracks from instrumental accompaniment, thereby producing two distinct output stems (vocals and instrumental) from a single input audio file; and (c) Karaoke Studio, a module designed to facilitate karaoke-style audio experiences leveraging the vocal separation capabilities of the Platform.

3. Payment Processing, Pricing Structure & Commercial Terms

All monetary transactions, payment processing operations, credit card verifications, recurring billing cycles, refund adjudications, and related financial operations conducted in connection with the Service are exclusively handled, processed, managed, and administered by Stripe, Inc. and/or its affiliated entities (collectively, "Stripe"), a third-party payment processing provider. KeyPitch does not at any time store, retain, access, or otherwise process credit card numbers, debit card numbers, bank account details, or any other sensitive payment instrument data on its own servers or infrastructure. Users acknowledge and expressly agree that their use of Stripe's payment processing services is additionally governed by Stripe's own Terms of Service and Privacy Policy, which Users are independently responsible for reviewing and accepting.

The Service offers the following commercial access tiers, the pricing of which is displayed in the User's estimated local currency at the time of purchase and is subject to modification at any time without prior notice: (i) Pay-Per-Export, a single-use, one-time payment option that grants the User a non-transferable, non-refundable, single-use right to download the specific file or files produced during that particular processing session, with no ongoing access rights, subscription benefits, or future download entitlements conferred whatsoever; (ii) Monthly Subscription (Pro Monthly), a recurring subscription plan billed on a calendar-month basis that provides the subscribing User with unlimited downloads from the Audio Studio and AI Vocal Remover modules, unlimited preview playback without automatic pauses or interruptions, and access to all currently available Platform features for the duration of the active subscription period; and (iii) Annual Subscription (Pro Annual), a recurring subscription plan billed on a twelve-month annual basis that confers the same benefits, rights, and access privileges as the Monthly Subscription, as described in subsection (ii) above, for the duration of the active annual subscription period.

4. Subscription Renewal, Automatic Billing & Cancellation Procedures

Users who elect to purchase a Monthly Subscription or an Annual Subscription expressly acknowledge, understand, and irrevocably agree that such subscriptions are configured to renew automatically at the conclusion of each respective billing period (i.e., monthly or annually, as applicable) unless and until the User takes affirmative, deliberate, and timely action to cancel the subscription prior to the commencement of the next billing cycle, in strict accordance with the cancellation procedure described hereinbelow. Automatic renewal ensures uninterrupted access to the Service's premium features and functionalities; however, it is the sole and exclusive responsibility of the User to monitor their subscription status and to initiate cancellation proceedings should they no longer wish to maintain their subscription.

In order to effectuate the cancellation of an active subscription, the User must first be authenticated and logged into their KeyPitch account on the Platform. Once logged in, the User shall navigate to the account management section, locate the subscription management functionality (accessible via "My Account" followed by "Manage Plan"), and initiate the unsubscription process by selecting the cancellation option presented therein. Upon initiating cancellation, the User will be securely redirected to the Stripe Customer Portal, a third-party interface operated and maintained by Stripe, through which the User may complete the formal cancellation of their recurring subscription. It is hereby stipulated that cancellation requests cannot be processed through any other means, including but not limited to email correspondence, verbal communication, social media messaging, or any other informal channel of communication. Upon successful cancellation, the User shall retain access to their subscription benefits until the end of the then-current billing period for which payment has already been remitted, after which point all subscription-related access privileges shall be automatically and irrevocably terminated without further notice.

5. Intellectual Property & User Content

All intellectual property rights pertaining to the Platform, including but not limited to the software code, algorithms, user interface design, graphical elements, trademarks, trade names, logos, and all other proprietary materials associated with KeyPitch, are and shall remain the exclusive property of KeyPitch and/or its licensors. Users retain full ownership of any audio or video content they upload to the Platform for processing; however, by uploading content, Users represent and warrant that they possess all necessary rights, licenses, and authorizations to use, process, and modify such content. KeyPitch shall bear no liability whatsoever for any unauthorized use of copyrighted material by Users.

6. Limitation of Liability & Disclaimer of Warranties

The Service is provided on a strictly "as is" and "as available" basis, without any warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of results. To the maximum extent permitted by applicable law, KeyPitch expressly disclaims any and all liability for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in any way connected with the use of, or inability to use, the Service, including without limitation damages for loss of data, loss of revenue, loss of business opportunities, or any other intangible losses, even if KeyPitch has been previously advised of the possibility of such damages. In no event shall KeyPitch's aggregate liability exceed the total amount paid by the User to KeyPitch during the twelve (12) months immediately preceding the event giving rise to the claim.

7. Data Processing & Privacy

Audio and video files uploaded to the Platform are processed for the sole purpose of delivering the requested audio modifications or stem separations. Files may be temporarily stored on secure server infrastructure during processing and are not retained beyond the period strictly necessary to complete the requested operation. KeyPitch does not sell, share, distribute, or otherwise disclose User-uploaded content to any third party. User account information (email address, subscription status) is stored in a secure database and is used exclusively for the purposes of account management, authentication, and subscription administration.

8. Governing Law & Jurisdiction

These terms and all matters arising out of or relating to these terms shall be governed by and construed in accordance with applicable law. Any dispute arising in connection with these terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts. KeyPitch reserves the right to modify, amend, supplement, or replace these terms at any time and without prior notice. Continued use of the Service following any such modification shall constitute the User's acceptance of the revised terms.
